Key Responsibilities

• Provide legal advice on corporate governance, board resolutions, and shareholder matters.
• Draft, review, and negotiate various commercial agreements, including SaaS agreements, NDAs, and partnership agreements.
• Ensure compliance with corporate laws and regulations in relevant jurisdictions.
• Assist with corporate structuring, reorganizations, and transactional matters.
• Conduct legal research on international business laws and compliance requirements.
• Support the legal department in managing contracts and corporate records.
• Collaborate with internal teams (e.g., Finance, HR, Product) on legal matters.
• Manage relationships with external counsel as needed for specialized advice.
• Contribute to the development and implementation of internal compliance policies.
• Monitor legal and regulatory developments impacting the company's operations.

Requirements

• Admitted Attorney of the High Court of South Africa.
• Minimum of 5 years of post-qualification experience, with a strong focus on corporate and commercial law.
• Proven experience in drafting and negotiating complex commercial contracts, particularly in the tech sector.
• Solid understanding of corporate governance principles and company law.
• Experience with cross-border transactions and international compliance is advantageous.
• Excellent written and verbal communication skills, with the ability to articulate complex legal issues clearly.
• Strong organizational skills and the ability to manage multiple priorities remotely.
• Proficiency in legal research databases and remote collaboration tools.
• This is a fully remote role, open to candidates across South Africa.
