About the Opportunity

Moksha Global Capital Management is seeking a motivated and detail-oriented Corporate / M&A Lawyer or aspiring corporate legal professional to support a potential acquisition of an established investment management / family-office business in Singapore.

This is an opportunity to work directly with the firm's leadership on a live cross-border acquisition, gaining practical exposure to corporate transactions, legal due diligence, investment management agreements, acquisition structuring and transaction execution.

We welcome applications from fresh graduates with relevant legal qualifications and a strong interest in corporate law, as well as professionals with up to 3+ years of relevant experience.

Key Responsibilities

  • Conduct legal research relating to Singapore corporate law, M&A transactions and financial-services regulations.
  • Assist with legal due diligence on the target business, including corporate records, client agreements and investment management agreements.
  • Review and analyse transaction documents, including the Share Purchase Agreement (SPA), NDAs, representations, warranties and indemnities.
  • Identify legal risks, contractual obligations, change-of-control provisions and potential regulatory approval requirements.
  • Assist in preparing due diligence checklists, legal risk summaries, transaction notes and document-review reports.
  • Support the evaluation of client contracts, long-term revenue arrangements and contractual termination or surrender-fee provisions.
  • Coordinate with the management team, external legal counsel and other transaction advisers.
  • Assist with transaction structuring, negotiation preparation and closing documentation under appropriate supervision.
  • Maintain organised records of legal findings, outstanding questions and transaction milestones.

Minimum Requirements

  • A recognised law degree, such as an LLB or an equivalent legal qualification.
  • Fresh graduates and candidates with up to 3+ years of experience are welcome.
  • A genuine interest in corporate law, M&A, private equity, investment management or financial-services transactions.
  • Strong legal research, analytical, drafting and document-review skills.
  • Excellent written English and the ability to communicate complex legal issues clearly.
  • High attention to detail, professional integrity and confidentiality.
  • Ability to work independently in a remote environment and meet agreed deadlines.

Preferred qualifications and experience

  • Singapore-qualified advocate and solicitor, or a candidate eligible to pursue the relevant professional qualification.
  • Exposure to Singapore company law, corporate transactions, fund management or financial-services regulation.
  • Experience reviewing SPAs, commercial contracts, investment management agreements or corporate due diligence documents.

Candidates who are not yet qualified to practise independently may apply for a legal research and transaction-support role. Any reserved legal work and formal legal advice must be handled by appropriately qualified and authorised professionals.

Working Arrangement

  • Fully remote, with flexible working arrangements subject to transaction deadlines.
  • Direct collaboration with the firm's leadership and transaction advisers.
  • Project-based engagement focused on the acquisition.
  • No fixed monthly salary or monthly retainer.
  • Compensation linked to successful completion of the acquisition, with the amount, payment trigger and scope of work agreed in writing before engagement.
  • Potential opportunity for further project-based work on future acquisitions, subject to performance and mutual agreement.

Who Should Apply?

We encourage applications from ambitious fresh graduates, early-career lawyers and corporate legal professionals who want practical exposure to a real acquisition process and are comfortable with a clearly defined, success-based engagement.

Applicants should be commercially minded, proactive, discreet and genuinely interested in helping evaluate and execute an acquisition.

Moksha Global Capital Management looks forward to connecting with motivated legal professionals interested in contributing to a meaningful acquisition project.
