The successful candidate will be instrumental in managing and executing complex M&A transactions, providing expert legal guidance on corporate structuring, due diligence, and transaction agreements. We are looking for a seasoned professional with a deep understanding of cross-border transactions and a proven ability to navigate intricate legal and commercial challenges. This role is perfect for a self-motivated individual who thrives in a remote setting and possesses excellent communication and project management skills.
You will be a key player in shaping our client's strategic growth through impactful M&A activities. The role demands a proactive, results-oriented individual who can operate with autonomy and deliver exceptional legal support globally.
Key Responsibilities
- Lead and manage M&A transactions from inception through to completion, including deal structuring, negotiation, and closing.
- Conduct comprehensive legal due diligence on target companies, identifying risks and liabilities.
- Draft, review, and negotiate a wide range of M&A transaction documents, such as share purchase agreements, asset purchase agreements, and disclosure schedules.
- Advise on corporate governance, compliance, and regulatory matters related to M&A activities.
- Collaborate effectively with internal business teams, external counsel, investment bankers, and other advisors.
- Provide strategic legal advice on post-merger integration and corporate restructuring.
- Ensure compliance with all applicable laws and regulations in relevant jurisdictions.
- Develop and maintain strong working relationships with key internal and external stakeholders.
- Stay current with market trends, legal developments, and best practices in M&A.
- Manage external legal resources and budgets for M&A projects.
Requirements
- Juris Doctor (JD) or equivalent law degree (e.g., LLB) from a reputable institution.
- Admission to practice law in South Africa (or eligibility for admission).
- Minimum of 7 years of progressive experience in M&A and corporate law, preferably within a major law firm or large corporate legal department.
- Demonstrated experience managing significant M&A transactions, including cross-border deals.
- Expertise in drafting and negotiating complex transaction agreements and legal documentation.
- Strong understanding of corporate finance, securities law, and relevant regulatory frameworks.
- Exceptional analytical, negotiation, and problem-solving skills.
- Proven ability to manage multiple projects simultaneously and meet demanding deadlines.
- Excellent communication, interpersonal, and stakeholder management skills.
- Must be comfortable and productive working in a fully remote environment.
Benefits
- Highly competitive salary and performance-based bonus structure.
- Comprehensive health, dental, and vision insurance coverage.
- Retirement savings plan with company matching.
- Generous paid time off and flexible working hours.
- Professional development allowance for courses, conferences, and certifications.
- Opportunity to work on high-profile international transactions from the comfort of your home.
- Cutting-edge technology and collaboration tools to support remote work.
- A dynamic and inclusive global company culture.
